Terms of Service for Velora Booking Application

Welcome to Velora. These Terms of Service (“Terms”) constitute a legally binding agreement between you and Datasirpi FZC-LLC. Please read these Terms carefully before using our platform.

Effective Date: May 20, 2024 | Last Updated: May 20, 2024

3Multi-Tenant User Roles & Eligibility

Defining distinct user roles is essential for precise permissioning and the appropriate allocation of liability within a multi-tenant ecosystem. By categorizing users, Velora ensures that data privacy, professional standards, and operational rights are maintained across the clinical and administrative landscape.

3.1 User Classes

Velora identifies three specific classes of users, as derived from Procedure Booking Software (PBS) studies and professional scheduling standards:

  • Business Owners: Entities or individuals who manage the instance, define the clinical and scheduling rules, and oversee the professional environment.
  • Staff (Specialists & Fellows): Service providers, including clinicians and specialists, who use the platform to manage their professional appointments. Fellows (novice experts) and Specialists (senior experts) are granted access based on the Business Owner’s internal hierarchy.
  • Client Bookers: End-users who access the platform to seek and book appointments with service providers.

3.2 Eligibility & Capacity

In accordance with UAE Law and WIPO guidelines, all account holders must be at least 18 years of age. By creating an account, you warrant that you possess the legal capacity to enter into a binding contract.

3.3 Management & Banning Rights

Business Owners retain the unilateral right to manage their professional environment. This includes the functionality to “tag” or “ban” specific Client Bookers who engage in inappropriate behavior or repeated “Fake Appointments.” This right is a critical governance tool to protect staff safety and operational integrity.

These role-based definitions provide the structure for the limited license grant and the acceptable use restrictions detailed in the following section.

4License Grant & Acceptable Use Restrictions

The grant of a limited, revocable license serves as the sole legal vehicle through which users are permitted to access the Company’s proprietary assets. This structure ensures that while users can benefit from the application’s functionality, the underlying intellectual property remains strictly protected against unauthorized exploitation or degradation.

4.1 License Grant

Subject to your compliance with these Terms, Datasirpi FZC-LLC grants you a non-exclusive, non-transferable, and revocable license to access and use Velora solely for its intended professional booking and scheduling purposes.

4.2 Material Obligations & Restrictions

Any breach of these restrictions is categorized as a “Material Breach,” leading to immediate termination of access. Under WIPO-compliant standards, you are forbidden from:

  • Reverse Engineering: Disassembling, decompiling, or attempting to derive the source code of the application.
  • Modification: Altering the proprietary code, logic flows, or UI/UX design patterns.
  • Unauthorized Exploitation: Using the platform for data scraping, unauthorized commercial gain, or the development of a competing service.

4.3 Right to Audit

The Company asserts the right to monitor and audit platform usage to ensure compliance with these Material Obligations and to maintain the security of the software environment.

The protection of proprietary assets through this license allows us to facilitate the financial and operational mechanics of the application.

5Online Payments, Fees & Cancellation Policies

Establishing clear financial terms is vital for reducing “no-show” rates and ensuring business predictability for service providers. By implementing rigorous payment and cancellation structures, Velora minimizes the economic impact of “Fake Appointments” and optimizes the service provider’s time.

5.1 Public Offer, Subscription Terms & Payments

Velora utilizes Stripe for secure payment processing. Access to the platform is offered under a Public Offer on a recurring subscription basis (e.g., monthly or annual billing intervals). Subscription fees, specific payment amounts, and pricing tiers are clearly detailed during checkout. Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. By subscribing, you authorize Datasirpi FZC-LLC to charge the designated payment method for all applicable recurring subscription fees. Business Owners may also require credit card deposits or full payments at the time of booking.

5.2 Cancellation Policy & Subscriptions

Customers may cancel their subscription at any time without hidden obstacles, fees, or unnecessary friction. Subscription cancellations can be easily initiated through the account profile settings under “Billing & Subscriptions” or by contacting customer support at support@datasirpi.com. Cancellation will take effect at the end of the current billing period, and you will retain access to the platform until then. Regarding appointment bookings, a “Cancellation Buffer” is enforced by Business Owners, and booking fees may be non-refundable if cancelled within a set window prior to the appointment time.

5.3 Refund Policy

Refund requests, including those arising from unauthorized, disputed, or accidental recurring charges, are reviewed in accordance with our Refund Policy. If you identify an unauthorized transaction or wish to dispute a recurring charge, you must contact our support team at support@datasirpi.com within 14 days of the charge date. Eligible refunds for disputed or unauthorized charges will be processed back to the original payment method within 5–10 business days following investigation and approval.

5.3 Smart Waiting List: Invitation to Treat

Velora provides a “Smart” Waiting List and “Automated Replacement” functionality. It is explicitly stated that any automated notification or invitation sent from the Waiting List to a user constitutes an “invitation to treat” and not a binding offer or guarantee of appointment availability. A contract for service is only formed once the booking is confirmed by the Business Owner’s instance.

5.4 Financial Documentation

The platform facilitates the issuance of digital insurance receipts and tax documentation. It is the user’s responsibility to provide accurate information for these records, which are designed to support a paperless, “green” clinical environment.

The financial stability afforded by these policies is underpinned by the intellectual property and methodologies that drive the Velora platform.

6Intellectual Property & Attribution

The proprietary methodologies and designs of Velora represent the core competitive advantage of Datasirpi FZC-LLC. Protecting these assets is a strategic priority to maintain the platform’s unique value in the Middle Eastern technology market.

6.1 Ownership of Trade Secrets and HSD Assets

All proprietary code, UI/UX designs, logos, and trademarks are the exclusive property of Datasirpi FZC-LLC. Specifically, the logic flows, persona-mapping, and dashboard configurations generated by the Health Systems Design (HSD) tool are protected as the trade secrets of the Company.

6.2 User Feedback & Moral Rights Waiver

If you provide suggestions or feedback regarding the platform, you hereby grant the Company a perpetual, royalty-free, worldwide license to use such feedback. As permitted under UAE Copyright Law, you waive any “Moral Rights” to such suggestions, allowing the Company to integrate feedback into the product without compensation or attribution.

Our zero-tolerance policy for IP infringement necessitates the following limitations of liability and warranty disclaimers to manage platform risk.

7Limitation of Liability & Warranty Disclaimers

Liability caps are a fundamental component of risk management for SaaS providers, serving as the economic basis that allows the platform to remain viable and accessible for users. Without these limitations, the cost of providing a high-availability scheduling service would be prohibitive.

7.1 “As-Is” Disclaimer and Syncing Accuracy

Velora is provided on an “As-Is” and “As-Available” basis. Datasirpi FZC-LLC does not warrant that the software will be entirely bug-free. While we utilize real-time calendar syncing, we do not warrant 100% accuracy at all times, as performance depends on third-party integrations, network conditions, and external API stability.

7.2 Liability Cap

To the maximum extent permitted by UAE law, the Company’s total liability for any claim shall not exceed:

  • The total amount paid by the user to the Company in the six (6) months preceding the claim; or
  • 500 AED, whichever is lower.

7.3 Mandatory UAE Carve-outs

Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation, as mandated by the laws of the United Arab Emirates.

7.4 Exclusions

The Company shall not be liable for any indirect, incidental, or consequential damages, including but not limited to lost profits, lost data, or business interruptions caused by server downtime or synchronization errors.

These limitations are essential to our operations and directly inform our policies regarding account suspension and termination.

8Termination & Account Suspension

The Company maintains the right to govern the platform through the termination of access to ensure a safe, high-integrity environment. This right is necessary to protect the community from users who do not adhere to professional standards or financial obligations.

8.1 Grounds for Termination

Datasirpi FZC-LLC reserves the right to suspend or terminate your access for:

  • Violation of Acceptable Use policies or IP restrictions.
  • Non-payment of subscription or processing fees.
  • Engagement in “Fake Appointments” or harassment of staff (Client Banning).

8.2 Post-Termination & Data Retention

Upon termination, your license to use the platform ceases immediately. “User Content,” including in-app messages and clinician notes, will be handled, retained, or deleted in accordance with our Privacy Policy and the retention schedules mandated by UAE health data laws. Provisions regarding IP, Liability, and Dispute Resolution shall survive termination.

The termination of an account does not extinguish the requirement for structured dispute resolution, as outlined in our final section.

9Dispute Resolution & Alternative Dispute Resolution (ADR)

Structured dispute resolution preserves resources and maintains professional relationships more effectively than traditional litigation. This multi-tiered approach ensures that technical or commercial disagreements are handled with the necessary expertise.

9.1 Multi-Tiered Process

  • Mandatory Informal Negotiation: Parties must first attempt to resolve any dispute via informal email communication for a period of 30 days.
  • Mediation/Arbitration: If informal talks fail, parties are encouraged to utilize WIPO ADR services as the preferred venue for technical or intellectual property-related disputes.
  • Final Jurisdiction: If ADR is unsuccessful, the courts of Sharjah shall have final jurisdiction.

9.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. This ensures the continuity and stability of the legal framework regardless of individual clause validity.
